Radler White Parks & Alexander LLP seeks a Real Estate and Land Use Paralegal or Senior Paralegal. This is an excellent opportunity for a motivated professional to work in a challenging position with a flexible schedule, hybrid option, and competitive pay and benefits.

The ideal candidate is detail-oriented, collaborative, and self-motivated. This position works closely with all of our real estate and land use attorneys and professional staff.

Responsibilities Include:

Land Use

  • Assist with land use research and preparation of land use applications.
  • Assist with initial strategies and site aggregation.
  • Assist with preparation for presentations and hearings.

Organize and Manage Business Entities

  • Organize business entities of all types; prepare and file certificates of incorporation, amendment, merger, dissolution, and related documents.
  • Assist with securities filings.
  • Coordinate executive signatures on a variety of corporate documents, obtain EINs, and prepare organizational consents, incumbency certificates, and related documents.
  • Prepare incorporator actions, by-laws, stock certificates, stock ledgers, organizational resolutions, and shareholder resolutions.
  • Maintain, organize, and update corporate record books.
  • Prepare and file annual reports for states of incorporation or qualification and obtain necessary signatures.
  • Prepare and manage corporate minute books and handle other corporate maintenance.
  • Draft operating agreements, tenancy-in-common agreements, and other corporate documentation, with appropriate supervision from attorneys.

Acquisitions/Dispositions

  • Provide contractual compliance support, including preparation of critical date summaries and calendaring of dates.
  • Prepare closing documents and coordinate execution of various agreements and contracts.
  • Assist with real estate due diligence, including title and survey review. Draft title objection/response letters.
  • Assist with administration of escrows and records.

Finance Transactions

  • Assist with financing transactions, including review and revision of letters of intent, loan commitments, loan documents, and title review.
  • Prepare UCC financing statements and collateral descriptions and amendments.
  • Assist with closing and post-closing obligations.

Leasing

  • Prepare letters of intent and term sheets.
  • Draft and revise leases, subleases, and license agreements, including amendments thereto.

Condominiums/Planned Communities

  • Assist with preparation of condominium documents and obtaining REA approval.
  • Assist with preparation of subdivision documents.
  • Review and revise planned community and condominium documents.
